Terms and Conditions

Effective Date: January 1, 2025

By submitting payment for any project with Bluejay Media, you agree to be bound by the following Terms and Conditions.

1. Purpose of Agreement

This document outlines the working relationship between the Bluejay Media and all of our clients, including responsibilities, scope, and expectations. Specific project details will be outlined in individual Scope of Work (SOW) documents or emails, which reference these Terms and Conditions.

2. Primary and Secondary Contacts

Client’s shall designate a primary point of contact and may optionally provide a secondary contact. Only these individuals are authorized to make decisions related to services unless otherwise agreed in writing.

3. Payment Terms

  • A 50% non-refundable retainer is required to book all projects.

  • The remaining balance is due on the day of production unless otherwise agreed.

  • Partial payments do not guarantee delivery of partial work.

  • Late payments may be subject to 1.5% monthly interest or the maximum allowable by law.

  • Any disputed charges or chargebacks will incur a non-refundable $250 dispute fee.

  • Within 7 days of project delivery, all funds become non-refundable.

4. Project Scope & Change Requests

  • Changes to scope (e.g., extra shoot days, deliverables) require a new or amended agreement signed by both parties.

  • No verbal changes are binding.

5. Rescheduling & Date Changes

  • The Media Production Company will make reasonable efforts to accommodate date changes.

  • A rescheduling fee may apply to recover any admin or travel-related costs.

6. Overtime Policy

  • A standard day includes up to 10 hours, portal-to-portal.

  • Overtime is billed hourly for all crew and equipment beyond 10 hours.

  • Overtime must be approved by the client contact before it is incurred.

  • Payment for any overtime will be due within 30 days of the invoice date.

7. Editing & Revisions

  • One round of revisions is included with each edit.

  • Additional revisions are billed at the editing rate listed in the project’s Scope of Work.

  • A revision is defined as a minor change (e.g., swap shots, tweak audio).

  • Full re-edits or requests that add footage are considered new work.

  • All revision requests must be submitted in writing.

8. Music Licensing

  • The Media Production Company will license music for online use.

  • If the Client requests a specific track, they are responsible for obtaining the proper license.

9. Intellectual Property & Usage Rights

  • The Media Production Company retains ownership of raw footage and working files unless explicitly transferred.

  • Client is granted usage rights for final deliverables on web and social platforms.

  • If the project includes delivery of raw footage, the Client is granted a non-exclusive license to use those unedited files for internal or third-party editing purposes.

  • Raw files may not be resold or used for derivative works outside the scope of the original project without written permission.

  • Any usage of Bluejay Media branding or original creative concepts beyond the deliverables requires prior written consent.

  • Footage may not be resold or repurposed without written permission.

10. Model Release

  • The Client is responsible for obtaining permission from any individuals featured in the video.

  • The Media Production Company reserves the right to use footage for its own promotional use unless otherwise agreed.

11. Raw Footage

  • Raw footage will be delivered, if specified in SOW or invoice, via client-provided drive or a Bluejay Media supplied drive for an additional cost.

  • Raw footage will be stored for up to 30 days post-delivery. Requests for extended storage may incur fees.

12. Confidentiality

Both parties agree to keep all proprietary and confidential business information private.

13. Exclusivity

The Client agrees not to hire competing video services for the same event/project covered by this agreement.

14. Travel, Permits & Fees

  • Some mileage is included depending on selected package per SOW.

  • Additional mileage billed at the 2025 IRS rate (67¢/mile).

  • Hotel, per diem, and permit fees may apply for long-distance or overnight travel and will be discussed in advance.

  • Non-production travel days (such as air travel or gear transport days) are billed at $500 per day and will be outlined in the Scope of Work.

15. Substitution & Force Majeure

If Media Production Company is unable to fulfill services due to events such as personal illness, accident, etc., a comparable substitute will be sought. If no substitute is available, all payments will be refunded. Bluejay Media is not liable for failure to perform caused by force majeure events such as natural disasters, government actions, or other unforeseeable circumstances beyond control.

16. Insurance

Bluejay Media maintains general liability insurance and will provide proof upon request.

17. Liability & Indemnification

Each party shall indemnify and hold harmless the other against losses resulting from their own breach or negligence.

18. Dispute Resolution

  • Disputes will first attempt resolution through good faith negotiation.

  • If unresolved, disputes will proceed to mediation, then binding arbitration in Glendale, AZ.

  • Neither party may make false or disparaging public statements about the other.

19. Cooperation

  • The Client agrees to provide all reasonable support to allow filming, including location access, talent, and timely approvals.

  • The Media Production Company is not responsible for delays caused by lack of access or cooperation.

20. Term & Termination

  • This Agreement remains in effect for all projects unless altered or terminated in writing.
